SK hynix's $26.5 billion Nasdaq listing: what the prospectus reveals

SK hynix's record US share sale closed on 14 July; its prospectus sets out the HBM lead, customer concentration and Korea-centred expansion investors are buying into.

The deal

SK hynix began trading American Depositary Receipts on Nasdaq on 10 July, marking the debut with an opening bell ceremony attended by SK Group chairman Chey Tae-won and chief executive Kwak Noh-Jung [3]. The final prospectus, dated 9 July, offered 177,900,000 ADSs at $149.00 each, for a total offering of $26,507,100,000; each ADS represents one-tenth of a common share, so the deal covers 17,790,000 new shares [2]. The company estimated net proceeds of about $26.2 billion [2]. The ADSs trade under the symbol SKHY, while the common shares remain listed on the KRX KOSPI Market [2].

TechCrunch described the offering as the largest US debut by a non-American company, ahead of Alibaba's $25 billion IPO in 2014, and reported that the stock opened 14% above its offering price [1]. Citing media reports, it said demand was more than seven times the shares available and that the ADSs were priced at a 2.7% premium to the three-day average in Seoul [1]. Three cornerstone investors, Baillie Gifford, funds managed by Coatue and Situational Awareness Partners, had indicated interest in buying up to $7 billion of the ADSs, although those indications were not binding [2].

The offering closed on 14 July [7]. In a filing the next day, SK hynix reported issuing all 17,790,000 shares to depositary Citibank for 39,890,534,790,000 won at that day's exchange rate [7]. The new shares underlying the ADRs are scheduled to be listed on KOSPI on 29 July [3].

What investors are buying

The prospectus quantifies the position that made the deal possible. Citing IDC, SK hynix said it ranked first in high-bandwidth memory by revenue with a 56.4% share in the first quarter of 2026, second in DRAM including HBM with 29.1%, and second in NAND flash with 18.5% [2]. It reported first-quarter revenue of 53 trillion won, up 198.1% year on year, after full-year 2025 revenue of 97 trillion won [2]. In June the company announced a technology partnership with Nvidia covering next-generation memory and supply for platforms including Vera Rubin [2].

At the bell ceremony Kwak said HBM "now stands at the heart of the AI revolution" and that "SK hynix will be wherever AI is" [4]. The company presented the listing as a way to broaden its investor base and strengthen ties with US customers and partners [3][4].

The same document lists the risks. Sales are concentrated: SK hynix's two largest customers accounted for 14.8% and 12.4% of first-quarter revenue, and its largest customer for 23.9% of 2025 revenue, with key customers located in the United States and China [2]. The company warns that the memory industry remains subject to cyclical oversupply, and it operates wafer fabs in Wuxi and Dalian, China, alongside its Korean sites; its risk factors discuss US export controls on advanced chipmaking in China, first announced in October 2022 [2].

Where the money goes

The prospectus says only that net proceeds are for general corporate purposes, including capital expenditures, and gives management broad discretion over their use [2]. TechCrunch's reading of the filing tied the money to a new fab and a packaging facility in South Korea and to EUV scanners [1]. Either way, the capital lands on a large Korean build-out announced in the weeks before pricing.

On 29 June SK hynix set out a mid-to-long-term investment strategy of 1,100 trillion won: 600 trillion won in the Yongin cluster, 100 trillion won in Cheongju and 400 trillion won in a new cluster in the Southwestern Region [5]. It said Yongin's fourth fab is now targeted for completion by 2033 rather than 2045, and argued that HBM requires more wafers than conventional DRAM for the same capacity [5]. On 2 July Kwak detailed the Cheongju portion: about 80 trillion won for a new NAND fab, M17, with operations targeted for the first half of 2029, and 20 trillion won for the P&T7 advanced packaging plant and other facilities, due by the end of 2027 [6].

The US footprint is much smaller. The prospectus describes an investment of about 5,900 billion won in an HBM advanced packaging plant in West Lafayette, Indiana, with the first cleanroom targeted for the second half of 2028 [2].

The policy subplot

That imbalance drew attention in Washington. TechCrunch reported that Commerce Secretary Howard Lutnick, speaking at a Micron event, said he was already in talks with Samsung and SK Hynix about building new factories in the United States [1]. The prospectus describes Indiana as the company's first US production facility, and SK hynix has not announced further US manufacturing plans.

The shortage that underpins the valuation is also visible downstream. Citing Counterpoint Research, TechCrunch reported that India's smartphone shipments fell 10% year on year in the April to June quarter as memory makers including SK hynix shifted capacity to HBM for AI accelerators, and that shortages are expected to last through the end of 2027 [8].

For SK hynix, a US listing raises the company's visibility to American investors and policymakers at the same moment. It now has a large pool of new capital, a Korean expansion plan measured in hundreds of trillions of won, and a US government that wants more of that capacity built in America. The first indication of how it balances those may come with second-quarter results; the company has scheduled its earnings conference call for 29 July [9].
