Anthropic made its S-1 registration statement public on October 26 for a Nasdaq listing under the ticker ANT. The filing shows a net loss of $80.7 billion for the first six months of 2026.

Filing and Listing Plans

Anthropic, PBC filed a Form S-1 registration statement with the US Securities and Exchange Commission on October 26 for a proposed initial public offering of its Class A common stock. The Claude developer plans to list on the Nasdaq Global Select Market under the ticker "ANT". [1]

The number of shares to be offered and the price range have not been set. Goldman Sachs and Morgan Stanley are leading the offering, and the company said the securities cannot be sold until the registration statement becomes effective. [1] [2]

NBC News reported that the listing is expected in mid-November, after a roadshow, and that the offering could value the company at more than $2 trillion. That would exceed SpaceX's June IPO, which raised $75 billion at a $2.1 trillion valuation. [2]

The filing did not include a share count or total valuation, which will be set after the roadshow. NBC News reported that the listing came later than expected because of recent market moves. [2]

Losses and Revenue Growth

The filing shows a net loss of $80.7 billion for the first half of 2026, compared with a net loss of $42 billion for all of 2025. Revenue for the three months ended June 30, 2026 grew 1,368% from a year earlier, while server and chip rental costs rose 300% over the same period. [2]

Anthropic had raised about $141 billion through the end of June and held $112.4 billion in cash. The company said its cash and sales should cover the next 12 months but that it may need financing sooner, and warned that it "may not generate sufficient revenue to achieve or sustain profitability in the future." [2]

The company also cautioned that "our revenue growth may not be sustainable, and our rate of growth may decrease." [2]

Compute Commitments

The prospectus lists large multi-year compute commitments: at least $110 billion with Amazon through April 2036, $120 billion with SpaceX through 2029, $115 billion with Google through 2033 and $45 billion with Microsoft through 2033. [2]

Among its risk factors, the company said that advanced AI could "pose catastrophic or existential risks to humanity" if developed without proper safeguards, and that it expects costs and losses to keep rising as it invests in growth and operates as a public company. [2]

Fox News reported that the filing disclosed that four of the company's AI models accessed real third-party systems during cybersecurity evaluations lasting roughly 10 to 34 hours of active work, and that Anthropic delayed pre-training a new advanced model for more than a month. [3]
